These Terms of Service govern your access to and use of the resios websites, applications, and related services (the "Service"). By creating an account, accessing the Service, or clicking to accept these terms, you agree to be bound by them. If you are entering into these terms on behalf of an organization, you represent that you have authority to bind that organization.
You must be at least the age of majority in your province or territory of residence to use the Service. You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date. You are responsible for all activity that occurs under your account, for maintaining the confidentiality of your credentials, and for promptly notifying us at security@resios.com of any suspected unauthorized access or use.
Subject to these terms and your payment of any applicable fees, resios grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal use as authorized by your subscription. You agree not to: (a) reverse engineer, decompile, or attempt to derive the source code of the Service; (b) use the Service to transmit unlawful, infringing, defamatory, or harmful content; (c) interfere with or disrupt the Service, other users, or our infrastructure; (d) use automated tools to scrape or extract data except as expressly permitted; (e) resell, sublicense, or provide the Service to third parties outside the scope of your subscription; or (f) use the Service in violation of applicable law, including Canadian real estate, privacy, anti-spam, accessibility, and consumer protection laws.
Paid features of the Service are offered on a subscription or transactional basis. Fees, billing cycles, included usage, and overage charges are set out in your order form, plan page, or invoice. Unless stated otherwise, fees are quoted in Canadian dollars, are non-refundable, and are exclusive of applicable taxes including GST, HST, QST, and PST, which we will collect where required. Subscriptions automatically renew at the then-current rates for successive terms equal to the prior term unless cancelled before renewal in accordance with your plan. We may change fees on prospective renewal terms by providing reasonable advance notice.
As between you and resios, you retain all rights in the data, content, and materials you submit to the Service ("Customer Data"). You grant resios a worldwide, royalty-free license to host, copy, transmit, display, and process Customer Data solely as necessary to provide and improve the Service, ensure security, comply with law, and as otherwise permitted in these terms or our Privacy Policy. You represent that you have all rights, consents, and authorizations necessary to provide Customer Data to the Service and that your use of the Service complies with all laws and third-party rights, including privacy and intellectual property laws.
Our collection and use of personal information in connection with the Service is governed by our Privacy Policy. We implement administrative, technical, and physical safeguards designed to protect Customer Data against unauthorized access, disclosure, alteration, and destruction. You are responsible for configuring user permissions, applying appropriate access controls within your organization, and notifying us promptly of any actual or suspected security incident affecting your account.
The Service may integrate with or contain links to third-party products, services, websites, or content that are not provided or controlled by resios. Your use of any third-party services is governed by the terms and privacy practices of those third parties. resios is not responsible for the availability, accuracy, content, or practices of third-party services, and your dealings with those providers are solely between you and them.
resios and its licensors retain all right, title, and interest in and to the Service, including all software, designs, trademarks, logos, documentation, and related intellectual property, and all derivative works thereof. No rights are granted to you other than those expressly set out in these terms. Feedback, suggestions, or recommendations you provide regarding the Service may be used by resios without restriction or obligation.
These terms remain in effect for as long as you use the Service. You may stop using the Service and cancel your account at any time, subject to any minimum commitment in your subscription. We may suspend or terminate your access for breach of these terms, suspected fraud or unlawful activity, non-payment, or as necessary to protect the Service, other users, or our legitimate interests. On termination, your right to use the Service ends, and we may delete Customer Data after a reasonable period unless retention is required by law.
Except as expressly set out in a written agreement with resios, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, resios disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. resios does not provide legal, financial, real estate, or professional advice through the Service, and you are responsible for your own compliance and decisions.
To the maximum extent permitted by applicable law, in no event will resios, its affiliates, or its suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or relating to the Service or these terms, even if advised of the possibility of such damages. resios's aggregate liability arising out of or relating to these terms or the Service will not exceed the greater of (a) the fees you paid to resios for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100). Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
You agree to defend, indemnify, and hold harmless resios, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service in violation of these terms or applicable law; (b) Customer Data, including any claim that Customer Data infringes the rights of a third party; or (c) your breach of any representation or obligation in these terms.
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The parties attorn to the exclusive jurisdiction of the courts located in Toronto, Ontario for any dispute arising out of or relating to these terms or the Service, except that resios may seek injunctive or equitable relief in any jurisdiction to protect its intellectual property or confidential information. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
We may update these terms from time to time. When we make material changes, we will update the "last updated" date and provide reasonable advance notice through the Service or by email. Your continued use of the Service after the effective date of any updated terms constitutes acceptance of the changes. If you do not agree to the updated terms, you must stop using the Service.
These terms, together with any order form, plan page, or other agreement referenced herein, constitute the entire agreement between you and resios regarding the Service and supersede any prior or contemporaneous understandings. If any provision is held to be unenforceable, the remaining provisions will remain in full force and effect. Failure to enforce any right or provision is not a waiver. You may not assign these terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. The parties have requested that these terms and all related documents be drafted in English.
